These Terms of use constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and GooRap PLC, doing business as GooRap ("GooRap", "we", "us", or "off'), concerning your access to and use of the http://www.goorap.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site"). We are registered in Ethiopia and have our registered office at Addis Ababa. The Site provides an online marketplace for the following services: pick up and deliver parcels, pick up and deliver documents, and related. In order to help make the Site a secure environment for the service we provide, all users are required to accept and comply with these Terms of Use, including the Services Agreement posted on the Site, which are incorporated into these Terms of Use. You agree that by accessing the Site and/or the Marketplace Offerings, you have read, understood, and agree to be bound by all of these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND/OR THE MARKETPLACE OFFERINGS AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental Terms of use or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use from time to time. We will alert you about any changes by updating the "Last updated" date of these Terms of Use, and you waive any right to receive specific notice of each such change. Please ensure that you check the applicable Terms every time you use our Site so that you understand which Terms apply. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Use by your continued use of the Site after the date such revised Terms of Use are posted.

The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Site from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

The Site is intended for users who are at least 18 years of age. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Site. If you are a minor, you must have your parent or guardian read and agree to these Terms of Use prior to you using the Site.

Section 2. Intellectual Property

Unless otherwise indicated, the Site and the Marketplace Offerings are our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of international copyright laws, and international conventions. The Content and the Marks are provided on the Site "AS IS" for your information and personal use only. Except as expressly provided in these Terms of and Conditions, no part of the Site or the Marketplace Offerings and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

Provided that you are eligible to use the Site, you are granted a limited license to access and use the Site and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use. We reserve all rights not expressly granted to you in and to the Site, the Content and the Marks.

Section 3. User Presentation

By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Terms of Use; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Services through automated or non-human means, whether through a bot, script or otherwise; (6) you will not use the Services for any illegal or unauthorized purpose; and (7) your use of the Services will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).

Section 4. Limitation of Liability

The Website makes certain information and material available to you as a service, either through GooRap, its suppliers, or otherwise. The information and material provided on the Website is provided “as is”, has not been prepared by taking into account the particular objectives, situation or needs of any individual users, and is without warranties of any kind either express or implied.

GooRap does not warrant or make any representations regarding the use or the results of the use of the Website or in Linked Sites in terms of their correctness, accuracy, timeliness, reliability, or otherwise. GooRap will not be responsible for errors or misstatements or be liable, whether in contract, tort (including negligence) or otherwise, for any loss or damage however caused (including direct, indirect, consequential, special losses, or loss of profits). You release GooRap from all claims arising from any statement or representation made on the Website. Your sole and exclusive remedy for any of the foregoing or any dispute with GooRap, our affiliates, and their respective officers, directors, employees, shareholders or agents of any of them, is to discontinue your use of the Website.

To the fullest extent permissible pursuant to applicable law, GooRap excludes all responsibility and liability in relation to the Website, and disclaims all warranties, express or implied, including without limitation implied warranties of merchantability and fitness for a particular purpose. GooRap does not warrant that the functions contained in the Website will be uninterrupted or error-free, that defects will be corrected, or that the Website or the server that makes it available, are free of viruses or other harmful components.

To the maximum extent permitted by law, GooRap, you will indemnify GooRap, its officers and employees against all costs, expenses and damages incurred in connection with any claim brought by a third party against GooRap arising from a breach by you of any of the Terms of Use. You acknowledge that the limitation/exclusion of liability of GooRap, and your indemnity to GooRap, will also apply to all affiliates of GooRap, including any parent or subsidiary companies.

The liability of GooRap in respect of any single Shipment is limited to national transport law. If the Shipper believes that these limits are insufficient, it must file a special declaration of value and request insurance as described in Section 8, or make its own insurance arrangements. GooRap's liability is strictly limited to direct loss and damage to a shipment, as well as the per kilogram limits specified in Section 6. All other types of loss or damage are excluded (including, but not limited to, lost profits, income, interest, and future business), whether special or indirect, and even if the risk of such loss or damage was brought to the attention of GooRap.

GooRap will use all reasonable efforts to deliver the Shipment in accordance with GooRap's regular delivery schedules, but these schedules are not binding and are not part of the contract. GooRap is not liable for any damages or loss caused by delay; however, for certain Shipments, Shipper may be eligible for limited delay compensation under the Money Back Guarantee terms and conditions, which are available on the GooRap website (www.goorap.com) or from GooRap Customer Service.

Section 5. Linking

The contents of the Website may include links to third party websites (“Linked Sites”). These links are provided to you only as a convenience, and are beyond the control of GooRap.

The inclusion of any Linked Site does not imply GooRap’s endorsement of that Linked Site. You acknowledge that your use of, or reliance on, any Linked Site will be at your own risk. GooRap recommends that you carefully review the privacy policy and all Terms of use of Linked Sites that you visit.

GooRap may prohibit links to the Website and you must remove or cease any link at GooRap’s request. You will not frame any part of the Website content by including advertising or other revenue generating material, without the prior written consent of GooRap.

Section 6. Export Control

You assume all responsibility for compliance with all laws and regulations of any country from which you may access the Website regarding access, use, export, re-export and import of any content appearing on or available through the Website.

Section 7. Indemnity

You agree to defend, indemnify and hold harmless GooRap and its affiliate companies and their respective officers, directors, employees, agents and representatives from any and all claims, losses, liabilities, expenses, damages and costs (including reasonable legal fees) arising or resulting directly or indirectly from or out of your breach of any of these Terms of Use, or any activity you conduct in connection with the Website. GooRap reserves the right, but not the obligation, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such instances, you agree to cooperate fully with GooRap in the defense of such matter.

Section 8. Governing Law

Any dispute arising under or in any way connected with these Terms of use shall be subject, for the benefit of GooRap, to the non-exclusive jurisdiction of the courts of, and governed by the law of the country of origin of the Shipment and Shipper irrevocably submits to such jurisdiction, unless contrary to applicable law.

Section 9. Data Protection

We will maintain certain data that you transmit to the Site for the purpose of managing the performance of the Marketplace Offerings, as well as data relating to your use of the Marketplace Offerings. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Marketplace Offerings. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.

Section 10. Amendment

GooRap reserves the right to change the Terms of Use at any time and without providing you with notice of such changes. You agree that your continued use of the Website constitutes your acceptance of the modified Terms of Use, and you agree that all previous versions of the Terms of Use are superseded by the modified version. You should check these Terms of Use each time you access the Website to check for updates. These Terms of Use were last updated on June 1, 2022.

Section 12. Shipment Charges & Billing

GooRap's shipping charges are calculated based on distance and the greater of actual or volumetric weight per piece, and any piece may be re-weighed and measured by GooRap to confirm this calculation. Shipper, or the Receiver when GooRap acts on the Receiver's behalf, shall pay or reimburse GooRap for all Shipment or other charges due, or Customs Duties owed for services provided by GooRap or incurred by GooRapon the Shipper's or Receiver's behalf. Customs Duties may be requested prior to delivery. If GooRap uses its credit with the Customs Authorities or advances any Customs Duties on behalf of a Receiver who does not have an account with GooRap, GooRap may charge a fee.

Section 13. Routing and Delivery

Shipper agrees to all routing and diversion, including the possibility that the Shipment may be carried via intermediate stopping places.

Section 14. Customs Clearance

In order to provide its services, GooRap may perform any of the following activities on behalf of the Shipper or Receiver: 1) act as Shipper's forwarding agent for customs and export control purposes, and as Receiver solely for the purpose of designating a customs broker to perform customs clearance and entry, and (3) redirect the Shipment to Receiver's customs broker or other address upon request by any person whom GooRap believes to be authorized in its reasonable opinion.

Section 15. Deliveries and Undeliverable

PO Boxes and postal codes are not acceptable delivery addresses. Shipments are delivered to the address provided by the Shipper but not always to the named Receiver personally. Deliveries to addresses with a central receiving area will go to that location. GooRap may notify the recipient of an impending or missed delivery. Alternative delivery options, such as delivery on another day, no signature required, redirection, orcollection at a GooRap Service Point, may be offered to the receiver. Upon request, theshipper may exclude certain delivery options. If the Shipment is deemed unacceptable as described in Section 2, or if it has been undervalued for customs purposes, or if the Receiver cannot be reasonably identified or located, or if the Receiver refuses delivery or to pay Customs Duties or other Shipment charges, GooRap shall use reasonable efforts to return the Shipment to Shipper at Shipper's expense, failing which the Shipment may be released, disposed of, or sold without incurring any liability to Shipper or anyone. GooRap reserves the right to destroy any shipment that a law prohibits GooRap from returning to the shipper, as well as any Shipment of Dangerous Goods.

Section 16. Inspection

GooRap reserves the right, without prior notice, to open and inspect a shipment for safety, security, customs, or other regulatory reasons.

Section 17. Claims

All claims must be submitted in writing to GooRap within thirty (30) days of the date GooRap accepted the Shipment, or GooRap will be held harmless. Claims are limited to one claim per shipment, with settlement being full and final settlement for all loss or damage incurred as a result of the shipment.

Section 18. Insurance for Shipments

GooRap may be able to arrange insurance covering the value in respect of loss of or damage to the Shipment, provided that the Shipper so instructs GooRap in writing, including by completing the insurance section on the front of the waybill or by GooRap's automated systems and pays the applicable premium. Shipment insurance does not cover indirect loss or damage, or loss or damage caused by delays.

Section 19. Circumstances Beyond GooRap's Control

GooRap is not liable for any loss or damage arising out of circumstances beyond GooRap's control. These include but are not limited to electrical or magnetic damageto, or erasure of, electronic or photographic images, data or recordings; any defect or characteristic related to the nature of the Shipment, even if known to GooRap; any actor omission by a person not employed or contracted by GooRap - e.g. Shipper, Receiver, third party, customs or other government official; "Force Majeure" - e.g. earthquake, cyclone, storm, flood, fog, war, plane crash, embargo, riot, civil commotion, or industrial action.

Section 20. Shipper's Warranties

Shipper shall hold GooRap harmless for any loss or damage arising out of Shipper's failure to comply with the following warranties and representations:

Section 22. Miscellaneous

These Terms of Use and any policies or operating rules posted by us on the Site or in respect to the Marketplace Offerings constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms of Use shall not operate as a waiver of such right or provision. These Terms of Use operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Terms of Use is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms of Use and does not affect the validity and enforceability of any remaining provisions. There is no joint venture,partnership, employment or agency relationship created between you and us as a result of these Terms of Use or use of the Marketplace Offerings. You agree thatthese Terms of Use will not be construed against us by virtue of having drafted them.You hereby waive any and all defenses you may have based on the electronic form of these Terms of Use and the lack of signing by the parties hereto to execute these Terms of Use.
